Content Ownership & Usage Rights Policy

Effective date:

Content rights depend on the type of service MANCHWAVE provides. Copyright ownership, organic posting permission, paid advertising usage, source files and permission to use a person's face or voice are different rights. This page summarizes our standard approach; signed client agreements, applicable service schedules, creator agreements, releases and scope confirmations control individual projects.

1. Influencer Marketing: creator-owned content

A creator ordinarily retains ownership of original Reels, Stories, posts and related content. Under our standard influencer marketing terms, the brand receives an organic-use license for 12 months from posting to repost or share agreed content on the brand's own social channels. This does not automatically grant rights to modify substantially, redistribute, sublicense, broadcast, promote as paid advertisements or use a creator's handle for whitelisting. Paid use and whitelisting require separate written permission and an additional agreed fee. Any negotiated difference must appear in the signed agreement.

2. Social Media Management: client ownership after payment

For custom posts, graphics, videos and other materials created under a signed SMM schedule, MANCHWAVE retains ownership until the invoice for that content is paid in full. Under the standard schedule, ownership of that month's paid-for deliverables, including raw design and video source files, then transfers to the client, subject to legally effective assignments and any third-party licensing limits. On termination, the normal schedule calls for final handoff of paid content and source files within 10 business days after the final invoice clears. Client-supplied assets remain the client's or original owner's property.

3. UGC Ad Creative: production ownership and usage grants

For UGC productions, the signed UGC scope is structured so that the agreed edited cuts and, where included, underlying raw footage transfer to the client following final payment and completion of the necessary creator/editor rights assignments. Ownership of the deliverable files is not the same as unlimited permission to commercially use a creator's face, voice or likeness. The permitted organic and paid advertising channels, duration, talent releases, edit rights and paid usage license fees must be confirmed in the signed Scope Confirmation Schedule. Unpaid drafts may not be used commercially. Where independent filming and editing personnel are involved, the required rights transfers must be secured from each contributor.

4. AI-assisted advertising and third-party components

AI-assisted concepts and assets are subject to applicable laws and the licensing rules of the tools and underlying content used. MANCHWAVE cannot promise exclusive copyright or ownership of an AI-only output where applicable law or the tool's terms do not support it. Any assignment, commercial-use permission, use of music, fonts, stock footage, platform templates, synthetic voices, models or trademarks must be defined and cleared for the intended use in the signed project scope. AI content does not override rights of real people or brands.

5. Approvals and payment

Content must satisfy the agreed brief and approval process. Unless expressly agreed otherwise, approval of a draft does not waive the payment condition for ownership transfer or create expanded advertising usage rights. Clients must provide rights-cleared logos, product images, claims and materials; MANCHWAVE will address rights needed for agency-supplied components as required by the applicable schedule.

6. Portfolio and confidentiality

We may seek permission to show completed projects or approved excerpts as portfolio examples. Private commercial details, unpublished materials and personal data remain subject to confidentiality and applicable agreements. Illustrative website creative concepts are not presented as real client work. Clients can raise written objections to proposed portfolio or case-study use in accordance with the signed terms.

7. Questions about licenses

Before boosting, whitelisting, reposting beyond a licensed term, editing a creator's likeness, or reusing raw footage outside the agreed scope, contact hello@manchwave.com to confirm the applicable written rights.
